Terms of Service
These Terms of Service ('Terms') form a legally binding contract between you and Lumeo Technologies Private Limited ('Lumeo', 'we', 'us'). By creating an account or using the Lumeo platform, you agree to be bound by these Terms and our Privacy Policy.
Plain-language summary
Lumeo automates compliance for Indian freelancers and exporters — FIRA, GST, and ITR-4 outputs. You own your data. We charge a subscription fee. Don't use us for anything illegal. These Terms are governed by Indian law. Read the full document below for the legally binding version.
1. Eligibility and account registration
1.1 Who can use Lumeo
You may use the platform only if:
- You are at least 18 years of age and have the legal capacity to enter binding contracts under the Indian Contract Act 1872.
- You are a resident of India or an Indian citizen earning foreign remittances, operating as a freelancer, sole proprietor, LLP partner, or director of a private limited company.
- Your business activities comply with FEMA 1999, the Income Tax Act 1961, the CGST/IGST Act 2017, and all other applicable Indian laws.
- You are not subject to any sanction imposed by the Government of India, OFAC, the UN Security Council, or any other applicable sanctions regime.
- You have not been previously suspended or terminated from the Lumeo platform for a breach of these Terms.
1.2 Account registration
You must provide accurate, current, and complete information during registration and update it promptly when it changes. Each natural person or business entity may maintain only one active account. Creating multiple accounts to circumvent limits, suspensions, or pricing tiers is prohibited and will result in immediate termination.
1.3 Account security
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- You must enable multi-factor authentication (MFA) within 48 hours of account creation. MFA is mandatory for sensitive operations including API key generation and tax filing submissions.
- You must notify us immediately at [email protected] of any unauthorised access or suspected breach.
- Sharing account credentials with third parties is prohibited unless you use our officially supported multi-user team access feature.
2. Description of services
Lumeo provides the following core services, subject to your subscription plan:
Not a tax advisory service
Lumeo automates data aggregation and form population. Our outputs do not constitute chartered accountancy advice, tax consultancy, or legal opinions under the Chartered Accountants Act 1949. We strongly recommend you have a qualified CA or tax advisor review your filings before submission.
3. Fees, billing, and refunds
3.1 Subscription plans
Lumeo offers tiered subscription plans published at lumeo.co.in/pricing. Pricing is in Indian Rupees (INR) and inclusive of applicable GST (18% IGST for interstate / CGST+SGST for intrastate). We reserve the right to modify pricing with 30 days' advance notice.
3.2 Billing cycle
- Subscriptions are billed monthly or annually in advance. Annual plans are discounted and non-refundable except as stated in Section 3.4.
- Payment is due on the subscription anniversary date. Failed payments trigger a 7-day grace period with daily retry. Account access is suspended if payment is not received within the grace period.
- We accept UPI, NEFT/RTGS, credit/debit cards (via Razorpay), and netbanking. We do not accept cryptocurrency payments for subscriptions.
3.3 Usage-based fees
Certain features (API calls beyond plan limits, bulk FIRA batch processing, priority GST filing slots) are billed on a usage basis. Your dashboard shows real-time usage against plan limits. Overages are billed at month-end at the rates published in your plan documentation.
3.4 Refunds
- 7-day full refund: If you cancel within 7 days of your first paid subscription, you are entitled to a full refund, no questions asked.
- Pro-rated refund: If Lumeo materially degrades or withdraws a feature you subscribed for, you may request a pro-rated refund for the remainder of your billing period.
- No refund: Annual subscriptions cancelled after 7 days are non-refundable except in the case of material service degradation. Monthly subscriptions are non-refundable for the current billing period after 7 days.
Refund requests must be submitted to [email protected] within 30 days of the triggering event. Refunds are processed within 7–14 business days to the original payment method.
3.5 Taxes
You are responsible for all taxes applicable to your use of Lumeo beyond the GST already included in our subscription price. If you are a GST-registered business, please provide your GSTIN in Account Settings to receive a GST-compliant invoice (Tax Invoice) that you can use for input tax credit.
4. Acceptable use policy
4.1 Permitted use
You may use Lumeo solely for lawful, personal or business financial compliance purposes consistent with these Terms. You agree to use the platform in accordance with all applicable laws, including but not limited to the Income Tax Act 1961, CGST Act 2017, FEMA 1999, PMLA 2002, and the Information Technology Act 2000.
4.2 Prohibited activities
You must not, directly or through a third party:
- Use the platform for any fraudulent activity, including filing false or fabricated FIRA certificates, GST returns, or income tax returns.
- Structure transactions to evade reporting requirements under FEMA, PMLA, or the Income Tax Act (smurfing, layering, integration).
- Access, scrape, crawl, or extract data from the platform by automated means beyond the officially supported API.
- Reverse-engineer, decompile, or attempt to derive source code, algorithms, or database schemas from the platform.
- Upload or process transactions related to prohibited businesses: unregulated gambling, adult content, weapons, narcotics, hawala operations, or any activity banned under Indian law.
- Impersonate any person or entity, or provide false KYC information to circumvent AML/CFT screening.
- Attempt to gain unauthorised access to any account, system, or network connected to Lumeo.
- Introduce malware, ransomware, trojans, or any malicious code into the platform.
- Circumvent, disable, or interfere with security features including MFA, rate limits, or fraud detection systems.
- Resell or sub-license access to the platform without a written reseller agreement with Lumeo.
Zero-tolerance AML/CFT policy
Any transaction or account activity that appears to involve money laundering, terrorism financing, or proceeds of crime will be reported to the Financial Intelligence Unit – India (FIU-IND) and relevant law enforcement authorities. The account will be suspended immediately pending investigation.
5. Intellectual property
5.1 Lumeo's intellectual property
The Lumeo platform, including its software, source code, algorithms (including the FIRA extraction engine and GST reconciliation engine), API, designs, trademarks, service marks, logos, and all documentation, is the exclusive property of Lumeo Technologies Private Limited and its licensors. All rights reserved. Nothing in these Terms transfers any IP ownership to you.
5.2 Licence to you
Subject to your compliance with these Terms and payment of applicable fees, Lumeo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the platform for your own lawful compliance needs during your subscription period.
5.3 Your feedback
If you submit suggestions, ideas, or feedback about the platform ('Feedback'), you grant Lumeo a perpetual, irrevocable, worldwide, royalty-free licence to use, copy, modify, and incorporate that Feedback into our products without restriction or compensation to you.
5.4 Your content
You retain all ownership of the financial data, documents, and information you upload to the platform ('Your Content'). You grant Lumeo a limited licence to process Your Content solely for the purpose of delivering the services to you. We do not use Your Content to train AI/ML models or for any purpose beyond service delivery.
6. Your data and portability
- Data ownership: You own all financial data you upload or that is generated on your behalf (FIRA certificates, GST computation sheets, ITR inputs).
- Export: You may export all your data in machine-readable formats (JSON, CSV, PDF) at any time from Account Settings → Export Data. Exports are processed within 24 hours.
- Post-cancellation access: After cancelling your subscription, you have a 90-day window to download all your data. After this window, your data is archived (not deleted) for the minimum statutory retention period.
- Backups: Lumeo maintains geographically redundant backups in AWS ap-south-2 (Hyderabad) with a Recovery Point Objective (RPO) of 1 hour and Recovery Time Objective (RTO) of 4 hours.
7. API and integrations
7.1 API access
Access to the Lumeo Vault API requires a paid plan with API access enabled. API keys are personal credentials — treat them like passwords. Keys must not be embedded in client-side code, public repositories, or shared environments.
7.2 Rate limits and quotas
Each plan has defined API rate limits (requests per minute and per day) published in the API documentation. Exceeding limits results in HTTP 429 responses. Repeated or deliberate limit abuse may result in API key suspension. We provide a burst allowance of 2× the rate limit for up to 60 seconds.
7.3 SLA for API
7.4 Third-party integrations
Lumeo may offer integrations with third-party services (accounting software, banking APIs, GST portals). We are not responsible for the availability, accuracy, or data practices of third-party services. Review their terms and privacy policies before enabling any integration.
8. Disclaimer of warranties and limitation of liability
8.1 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMEO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
In particular, Lumeo does not warrant that: (a) the platform will be error-free or uninterrupted; (b) FIRA certificates, GST computations, or ITR inputs generated by the platform will be accepted by the relevant regulatory authority; (c) FX spread data is real-time or reflects the exact rate available at any given moment.
8.2 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, LUMEO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF:
- The total fees paid by you to Lumeo in the twelve (12) months immediately preceding the event giving rise to liability; or
- INR 10,000 (ten thousand Indian Rupees).
LUMEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Tax liability
You bear sole responsibility for the accuracy and completeness of all tax filings submitted using data generated by Lumeo. Lumeo's outputs are aids for automation; they do not constitute tax advice and do not create any liability on Lumeo for penalties, interest, or demands raised by tax authorities arising from your filings.
8.4 Force majeure
Lumeo is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet infrastructure failures, bank system outages (including RBI RTGS/NEFT downtime), or GSTN/IT portal unavailability.
9. Indemnification
You agree to defend, indemnify, and hold harmless Lumeo, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms or any applicable law.
- Your use of the platform, including any FIRA certificates, GST returns, or ITR filings submitted using Lumeo-generated data.
- Any false or misleading information provided by you during KYC or otherwise.
- Infringement of any third-party intellectual property or privacy rights by Your Content.
- Any claim by a regulatory authority (CBDT, GSTN, RBI, FIU-IND) arising from your compliance or non-compliance obligations.
10. Term and termination
10.1 By you
You may cancel your subscription at any time from Account Settings → Billing. Cancellation takes effect at the end of the current billing period. You retain access to your data for 90 days post-cancellation.
10.2 By Lumeo
We may suspend or terminate your access immediately, without prior notice, if we reasonably believe:
- You have materially breached these Terms and the breach is not cured within 14 days of notice (or immediately for AML/CFT/fraud violations).
- Continued provision of services would expose Lumeo to legal, regulatory, or reputational risk.
- Your account is involved in suspected money laundering, terrorism financing, or regulatory non-compliance.
- You have provided false KYC information.
10.3 Effect of termination
Upon termination: (a) your licence to use the platform ceases immediately; (b) outstanding fees become immediately due; (c) Sections 5 (IP), 8 (Liability), 9 (Indemnity), 11 (Disputes), and any provision that by its nature should survive, shall survive termination.
11. Governing law and dispute resolution
11.1 Governing law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. The courts of Kolkata, West Bengal shall have exclusive jurisdiction over any dispute arising under these Terms.
11.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including its validity, breach, or termination, that cannot be resolved through good-faith negotiation within 30 days shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act 1996, as amended. The arbitration shall be:
- Conducted by a sole arbitrator mutually agreed upon by the parties or, failing agreement within 15 days, appointed by the Kolkata High Court.
- Conducted in English in Kolkata, West Bengal.
- Subject to confidentiality obligations — neither party may disclose the existence or outcome of the arbitration without the other's consent.
11.3 Consumer disputes
Nothing in this Section limits your rights under the Consumer Protection Act 2019 or prevents you from filing a complaint with the appropriate consumer forum if you are a consumer within the meaning of that Act.
12. Changes to these Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via in-app notification and email. Your continued use of the platform after the effective date constitutes acceptance. If you do not agree to the modified Terms, you must stop using the platform and cancel your subscription before the effective date to receive a pro-rated refund.
